Obiettivi formativi

Dopo un’introduzione ai fondamenti della vendita nel nostro ordinamento, occasione di riepilogo dei segmenti principali della teoria generale del contratto, il ciclo di lezioni avrà ad oggetto anzitutto la vendita internazionale così come regolata dalla Convenzione di Vienna del 1980 o «CISG» (resa esecutiva in Italia con Legge 11 dicembre 1985, n. 765). Si tratta di recuperare nozioni acquisite nei corsi di base, arricchirle in una prospettiva internazionale e storico-comparativa ed affinarle grazie all’uso del metodo casistico. Obiettivo del corso è dunque non solo fornire una preparazione specialistica in materia di CISG, ma anche addestrare all’analisi e al commento dei casi che la riguardano.

Con lo stesso metodo il corso tratterà quindi l’altro grande àmbito della vendita “extra-codicistica”, vale a dire le garanzie del compratore nella vendita di beni di consumo (art. 128 ss. c.cons.), disciplina di derivazione europea (Dir. 1999/44/CE) e oggetto di ripetuti tentativi di modifica a cura del legislatore comunitario (si pensi in particolare al progetto c.d. “on a Common European Sales Law”), sfociati nella nuova Dir. 2019/771/UE. Anche qui l’analisi della casistica, seppur rada, è funzionale non solo all’approfondimento del tema, ma anche all’acquisizione del metodo.

Come noto vendita internazionale e vendita al consumo condividono numerosi princìpi e regole, sicché finiscono col rappresentare un sorta di blocco unico a fronte della vendita comune disciplinata dal codice: la loro illustrazione sarà dunque una sede naturale di ricostruzione e rivisitazione critica dell’intero tipo, con inevitabili ricadute su talune aree della parte generale del contratto.  

After an introduction on the foundations of sales law in our system, which will give us the chance for an overview of the main branches of general contract theory, the course will provide a topical analysis of international sales law, as regulated by 1980 Vienna Convention or «CISG» (whose implementation in Italy dates back to Statute 11th December 1985, nr. 765). It is a matter of refreshing the ground-concepts of sales law learned during the basic courses, enriching them in both an international and a historic-comparative perspective, and refining them through a case-law-focused approach. Therefore, the main purpose of the course not only is to make students achieve a specialised knowledge of the subject, but also to train them for case-law reading and assessment.

The same method will be applied to the other relevant set of extra-code provisions on sales law, i.e. the purchaser’s warranties in business-to-consumer sales (arts 128 ff. c. cons.), which is of European origin (Dir. EC/1999/44) and has been subject to several attempts of amendment by the European legislator (think of the draft ‘on a Common European Sales Law’, or CESL), which have led to the new Dir. EU/2019/771. Also here, case study, despite the quite small number of judgments, is useful not only for an in-depth analysis of the topic, but also from a methodological viewpoint.

As it is well-known, international and consumers sales law do share several principles and rules, therefore they end up to represent a sort of single unit facing civil code sales law: their study will thus be the natural seat for a reconstruction and critical restyling of the whole contractual type at issue, with an inevitable impact on the general provisions on contract law.

Lo studente maturerà consapevolezza circa gli aspetti metodologici e contenutistici sottesi alla disciplina della vendita internazionale e della vendita dei beni di consumo. L’apprendimento della materia è infatti funzionale all’acquisizione sia della c.d. parte generale della CISG (o CISG-Methodology), sia delle previsioni convenzionali sostanziali, che costituiscono una sorte di «ponte» fra sistemi di Common e sistemi di Civil Law. Quanto alla vendita di beni di consumo, che non s’avvale di una parte generale o metodologica, verrà in particolare rilievo lo studio della giurisprudenza comunitaria e l’addestramento all’interpretazione di normative, come quella in oggetto, di provenienza europea (interpretazione conforme al diritto comunitario, sistematica, teleologica).

Con ciò lo studente acquisirà contezza delle fondamentali tecniche di raccordo interpretativo fra normative internazionali, normative di provenienza europea e normative strettamente interne, e saprà ricostruirne le ricadute sull’interpretazione dello stesso diritto domestico non-derivato.

Students are expected to improve their understanding of the methodological, as well as the substantive, issues underlying both international and consumers sales law rules. A deeper knowledge of the subject is in fact instrumental, on one hand, to a better awareness of the CISG ‘general part’ (the so-called CISG-Methodology), on the other hand to a wider knowledge of its substantive provisions, which are a sort of «bridge» between Common Law and Civil Law legal systems. As to consumers sales law, which is not provided with a general part on methodology, the focus will be on the study of communitarian case-law and on the method for the interpretation of European-law-derived provisions, like the ones at stake (conforming, systematic and teleological interpretation).

Through this path, students will learn the fundamental techniques to interpretatively link international provisions, European-law-derived provisions and native national provisions, and will be able to identify the impact of such foreign regulations on the interpretation of native domestic law.

L’insegnamento sarà svolto in aula in presenza. Le lezioni saranno trasmesse in diretta streaming, ma non registrate e pubblicate sulla piattaforma Moodle. Saranno comunque pubblicati sulla piattaforma Moodle e su Campusnet materiali relativi agli argomenti essenziali affrontati a lezione. Le modalità di svolgimento delle lezioni potranno subire cambiamenti qualora mutasse (sia in melius che in peius) la situazione sanitaria. Ogni cambiamento sarà comunicato per tempo.

Il corso muove dai fondamenti della vendita e vi fa ritorno, all’esito, con un itinerario che collega la vendita internazionale a quella europea dei beni di consumo. Premessi brevi cenni sull’idea della lex mercatoria quale ordinamento del commercio internazionale, sulla distinzione fra diritto internazional-privato di conflitto ed uniforme e sulle «altre» fonti della vendita internazionale nel sistema italiano (in primo luogo la Convenzione dell’Aja del 1955 ed il Reg. UE 593/2008, c.d. «Roma I»), particolare attenzione sarà prestata ai seguenti aspetti:

- storia e preistoria della Convenzione di Vienna (CISG) come trattato di diritto internazional-privato uniforme;

- gli ideali dei «padri fondatori» (uniformità, flessibilità, parziarietà, praticabilità);

- la CISG come «cassetta degli attrezzi» per la creazione di un diritto globale delle obbligazioni e dei contratti;

ambito e criteri d’applicazione (art. 1, par. 1, CISG);

- evidenza della reciproca estraneità della sede d’affari (art. 1, par. 2, CISG);

- limitazione ai contratti «B2B» (art. 1, par. 3, CISG);

- autonomia dei contraenti e patto d’esclusione della CISG (art. 6 CISG); in particolare l’esclusione implicita, per condizioni generali o per comportamenti concludenti; cenno al problema dell’inclusione pattizia;

vendite escluse dalla sfera d’applicazione del trattato per la natura delle prestazioni (art. 3 CISG) o per la natura dei beni (art. 2 CISG);

- aree materiali non coperte (artt. 4 e 5 CISG) fra lacune convenzionali interne (ad es. l’incorporazione delle condizioni generali e l’impossibilità iniziale delle prestazioni) e lacune convenzionali esterne (ad es. questioni di validità, regole sul trasferimento della proprietà, r.c. per danni alla persona derivanti dalla merce venduta);

- i principi generali del trattato come tecniche di riempimento delle lacune interne (art. 7, par. 2, CISG);

- l’interpretazione autonoma o stare decisis sovranazionale (art. 7, par. 1, proposizione 1a, CISG); azioni di contrasto all’homeward trend interpretativo ed al forum shopping;

- la buona fede e la sua osservanza nel commercio internazionale (art. 7, par. 1, proposizione 2a, CISG); usi contrattuali e usi oggettivi del commercio (art. 9 CISG);

- la libertà delle forme come principio generale del trattato (art. 11 CISG);

- regole sulla formazione del contratto di vendita (somiglianze e differenze rispetto all’impianto del codice civile italiano); in particolare l’incorporazione delle condizioni generali e il c.d. «conflitto di formulari» (art. 14 ss. CISG);

- le obbligazioni principali del venditore (art. 30 ss. CISG); consegna e conformità della merce; obblighi d’ispezione e denuncia (artt. 38-39 CISG);

- i rimedi di tutela a favore del compratore (art. 45 ss. CISG);

- regole sul passaggio dei rischi (art. 66 ss. CISG);

- norme comuni alle obbligazioni del venditore e del compratore (danni, interessi, impedimenti liberatori) (art. 71 ss.).

Quanto invece alle garanzie del compratore nella vendita al consumo (Dir. 1999/44/CE e art. 128 ss. c.cons.) particolare ènfasi sarà data ai seguenti profili: il trasferimento della proprietà e il passaggio del rischio; la consegna di bene conforme al contratto; difetto di conformità e rimedi (in particolare l’esatto adempimento sotto forma di ripristino o sostituzione); i termini di denuncia e prescrizione; il problema dell’aliud pro alio.

N.B.: gli studenti che abbiano sostenuto negli aa.aa. 2016/17, 2017/18, 2018/19 o 2019/20 l’esame di “Diritto civile II: vendita” e che ora intendano sostenere l’esame di “Diritto civile A-D” dovranno concordare col docente un diverso programma.

The course starts from the foundations of sales law and returns to it, at the end of a path which links international sales law with European consumers sales law. After a brief introduction to the idea of lex mercatoria as the main international trade ordering, to the basic distinction between choice of law rules and uniform private international rules, and to the ‘other’ sources of international sales law within the Italian legal system (first of all the Hague Convention 1955 and the EU Regulation n. 593/2008, the so-called «Rome I»), the course will deal with the following aspects:

  • history and prehistory of the CISG as a uniform private international law treaty;
  • the ideals of the founding fathers (uniformity, flexibility, incompleteness, workability);
  • CISG as a tool box for creating a global law of obligations and contracts;
  • scope and application requirements (art. 1, par. 1, CISG);
  • different places of business as an external element (art. 1, par. 2, CISG);
  • restriction of the scope to the «B2B» sales contracts (art. 1, par. 3, CISG);
  • party autonomy and CISG opting out (art. 6 CISG); in particular, implied exclusion (by conduct or by standard terms); hints on the problem of contractual opting in;
  • sales outside of the CISG’s scope as to the nature of the due performances (art. 3 CISG) or of the goods sold (art. 2 CISG);
  • substantive matters not covered by CISG (artt. 4-5 CISG), between internal gaps (e.g. the incorporation of standard terms, or initial impossibility,) and external gaps (e.g. matters of validity, transfer of ownership and compensation for personal injury and death);
  • CISG’s general principles as gap-fillers (art. 7, par. 2, CISG);
  • autonomous interpretation or supranational stare decisis (art. 7, par. 1, 1st clause, CISG), struggling with judicial homeward trend and forum shopping;
  • good faith and its observance within international trade practice (art. 7, par. 1, 2nd clause, CISG); contractual and commercial usages (art. 9 CISG);
  • freedom of form as CISG general principle (art. 11 CISG);
  • rules on sales contract formation (similarities and differences with regard to Italian civil code); with a particular focus on incorporation of standard terms and the «battle of forms» (art. 14 et seq. CISG);
  • main obligations of the seller (art. 30 et seq. CISG); delivery and conformity; buyer’s duties of examination and notice (artt. 38-39 CISG);
  • remedies for the purchaser (art. 45 et seq. CISG);
  • rules on the passing of risk (art. 66 et seq. CISG);
  • common provisions seller’s and buyer’s obligations (damages, interests, exemptions) (art. 71 et seq. CISG).

As to the purchaser’s warranties in consumers sales law (Dir. EC/1999/44 and arts 128 ff. c. cons.), the main focus will be on the following aspects: the transfer of ownership and the passing of risk; the delivery of goods in conformity with the contract; the lack of conformity and the related remedies (in particular specific performance under the form of delivery of substitute goods or repair); the time for notice and the limitation period; and the problem of aliud pro alio.

Students who undertook in academic year 2016/17, 2017/18, 2018/19 or 2019/20 the exam “Diritto civile II: vendita” and are now willing to undertake the exam “Diritto civile O-Z” shall agree with the Professor on a different syllabus.

In via preliminare si consiglia un ripasso attento del manuale istituzionale nelle parti che corrispondono alla trattazione della vendita e della parte generale del contratto.
