Obiettivi formativi

 Il corso sarà tenuto dal Visiting Professor Prof. Marin Ebers. Il corso intende addestrare gli studenti alla ricerca delle fonti che governano le vendite internazionali. Gli allievi saranno invitati a riflettere sulla portata effettiva degli strumenti convenzionali esistenti. Si chiederà ai frequentanti di comparare il proprio diritto interno con le fonti sovranazionali. Gli studenti dovranno acquisire familiarità con la giurisprudenza emessa anche in altri Stati in applicazione della CISG.

The course will be taught by the visiting professor Martin Ebers. The Course will train students to research the legal sources ruling international sale. Students will be invited to consider the effective scope of existing international instruments. Students attending  classes will have to compare their domestic law with international and supranational sources. Students will be requested to become familiar with the case law concerning the CISG both  in their country and in other jurisdictions.

Gli studenti avranno un quadro complessivo della normativa applicabile in materia di vendita di beni mobili. L'apprendimento consentirà di vedere come regole apparentemente chiare possano causare perplessità interpretative a seconda del contesto giuridico in cui sono inserite.

Students will gain a comprehensive view of rules applicable in the field of sale of goods. Students will realize how rules quite clear at first sight may cause uncertainties in their application depending on the complex background on which the are deposited.

Dopo una breve introduzione all'argomento con indicazioni di carattere anche storico, gli studenti saranno coinvolti in ricerche personali su argomenti designati dal docente. I risultati delle indagini saranno esposti ai compagni tramite presentazioni powerpoint o altri strumenti. After a few hours of introduction (including a summary of the history of sources in the field of sale of goods), the students will be engaged in personal investigations on topics assigned, to be presented to their classmates by means of powerpoint presentations or other devices. Modalità di verifica dell'apprendimento

Durante il corso il docente verificherà lo svolgimento delle ricerche, verificherà i progetti di presentazione, assisterà alle presentazioni, correggerà i reports, sottoporrà gli studenti a tests scritti di verifica su ogni presentazione.

While the cours is being taught the professor will supervise research conducted by the students, he/she will check the powerpoint presentations, she/he will be present during discussions, he/she will correct the final reports, she/he will create and check tests on the individual presentations.

Programma

Il corso indaga sulla complessità delle fonti in materia di vendita internazionale di beni mobili.

In questa materia si sono succeduti tentativi ripetuti di uniformare il diritto attraverso le frontiere.  Talvolta ciò è avvenuto in aree geografiche circoscritte (ad es. paesi Scandinavi), in altri casi si è proceduto a disegni più ampi (ULF e ULIS, 1964; CISG, 1980). In ogni caso non tutto quanto riguarda la vendita è governato dalle norme uniformi. Ciò pone un onere complesso per l’interprete che deve combinare fonti diverse, considerando che in qualche caso le norme internazionali sono state adottate anche per le fattispecie interne. Per le modalità di svolgimento, si RACCOMANDA DI LEGGERE LA SEZIONE NOTE (IN INGLESE)  

Il corso incoraggia gli studenti a esplorare il processo di uniformazione del diritto, quindi a considerare quale sia la portata della CISG, quali argomenti non siano compresi e quale sia la legge applicabile.

Infine lo studente è sollecitato a comparare il diritto esistente  con il progetto di una European Sales law (CESL) e il più recente (2015) disegno di dettare regole per  l’acquisto on line di contenuti informatici e beni materiali. Esperti che lavorano nell’ambito delle vendite internazionali o che collaborano con l’UNCITRAL saranno invitati a tenere lezioni o seminari.

The course will explore the complexity of sources in the field of law regulating international sales.

Repeated efforts to reach uniform regulation of obligations and effects of the contract of sale have produced a number of conventions; some at the regional level (e.g. initially in the Nordic countries), some at the UN level. The 1980 Vienna convention has in part overcome defects of the previous 1964 discipline, but has not covered the whole field of issues involved in a contract of sale.

The result is rather complex as some countries are parties to various instruments and it is necessary to combine different  instruments according to the parties involved in the contract. In a few states the international regime has supplanted also the domestic rules. The course will encourage students to explore initially the process by which uniform rules have been negotiated and the difficulties experimented with some initial texts. As a second step the course will explore the scope of the Vienna convention (CISG), the issues left to the national laws, the procedure to identify the proper law applicable.

Finally the course will compare the project for a European sales law (CESL) with the more recent project (2015) for contract rules for online purchase of digital content and tangible goods.

Experts involved in the practice of international sales or working for UNCITRAL will be invited to deliver lectures or to hold seminars.

The Course will be  will be divided into live lessons and in off-line additional materials relating to the course topics.

The lessons will take place in the classroom in the presence of the teacher and broadcast in live streaming.

The course will be completed with video lessons, and relevant materials that will be published on the Moodle platform. This will allow students who cannot be in the classroom to attend the lessons anyway.

Registration to the course on the the campus net and moodle system is to be considered compulsory

Changes related to these methods will be promptly communicated on the site.

Students must register on moodle for this course. When you enter moodle you should register under the label on the left: GIU0828A_20_21.  Be careful ! This is the label for the current year- do not register on the course of last year !

Exams
 Students will have to pass successfully 1 open book exam which takes 2,5 hours.
 All in all, 3 open book exams are offered. If a student does not pass the 1st or 2nd exam, he/she can take part in the 2nd or 3rd exam. Students who have passed the exam do not have the possibility of a retake exam to improve their grade.
 Students will have the possibility to do a preparatory exam before the real exam takes place. Papers of the preparatory exam are not graded, instead, the exam will be discussed in a live video session.

Material
 Students will be provided with a whole syllabus and also with many articles and books on the CISG and European Sales Law.
 Moreover, students will get a pdf version of the power point presentation which is presented at the video lectures. Additionally, student will get a long version of the power point presentation, so that they can deepen their knowledge.
