Results of learning outcomes

KNOWLEDGE AND UNDERSTANDING: We hope that students gain knowledge and understanding on the current rules of corporate law and on some issues of financial markets law and regulations

APPLYING KNOWLEDGE AND UNDERSTANDING: We hope that students are able to properly apply the institutions of the subject to concrete cases, and works hypothesis

INDEPENDENT JUDGEMENT: We hope that the students gain critical skills in evaluating the answers/solutions provided to the main issues covered during the course

COMMUNICATION SKILLS: We hope that the students are able to discuss the issues and to propose solutions

LEARNING SKILLS: We hope that the students gain the methodological basis about the legal research on corporate law matters and are able to examine in depth the subjects discussed during the course

Teaching methods

The class is designed as an integrated learning environment, useful for an e-learning, in presence, and a fully online and blended didactical approach.

The final goal of such an environment - that also gives the possibility to discuss papers and research materials - is to create a line of continuity between the different didactical methods (remote and in presence activities).

Learning assessment methods

From December 2020 to February 2021: oral examination on Wenex (https://unito.webex.com/meet/federico.riganti). The examination will verify the knowledge of the main principles of EU legislation on corporate law (also mentioning some aspects of EU Financial Markets regulation)

Students must be registered to the examination and must have passed exams as provided in Department rules. The evaluation of the examination must be recorded immediately.

Support activities

Class attendance is recommended due to the technical nature of the subject. In any case, classroom attendance must be followed by the study of the manual and of the papers provided during the course

4. Forces shaping corporate law
5. Agency problems affecting the corporation
6. Legal strategies used to mitigate the agency problems
7. Protection of shareholders
8. Protection of non-shareholder constituencies
9. Group of companies
10. Elements of EU Financial Markets Regulations

 

Each lecture will be dedicated to a specific topic. After introducing the topic and pointing out all relevant issues pertaining thereto, the lecturer will invite the class to actively participate and debate.

Registration of the vote (written exam)

Dear Students,

to register your vote (written exam) you have to:

• register to one of the oral exams between December 2020 and February 2021;
• connect to the exam, that will be organized on my Webex page https://unito.webex.com/meet/federico.riganti
• have with you a copy of your id document (or passport, driving license, etc.) and confirm me, with your camera turned on, that you accept the vote (even if you have already confirmed me your acceptance via email).

Please note that I will not be able to register your vote if you will not correctly register to the exam.
